These Terms & Conditions apply to all services provided by NKX Consulting, unless explicitly agreed otherwise in writing.

Scope of Services

NKX Consulting provides advisory, consultancy, project management, training, and coaching services in the fields of:

People management and organizational development
Change management
Strategic growth and impact projects

Services are provided on the basis of a best-effort obligation (“inspanningsverplichting”) and do not constitute a guarantee of specific results unless explicitly agreed in writing.

Formation of Agreement

An agreement between NKX Consulting and the client is concluded when:

A written offer or proposal is accepted by the client (via email or signature), or
NKX Consulting starts delivering services upon explicit request of the client

Verbal agreements are only binding if confirmed in writing.

Fees and Payment

All fees are exclusive of VAT unless stated otherwise.
Payment terms are specified in the offer or invoice (default: 14 days).
In case of late payment, NKX Consulting reserves the right to charge statutory interest and reasonable collection costs.

Changes, Cancellation and Rescheduling

Changes to the scope of services must be agreed in writing.
Workshops, training sessions, or coaching sessions may be rescheduled or cancelled according to the terms specified in the proposal.
NKX Consulting reserves the right to charge preparation or cancellation costs if sessions are cancelled at short notice.

Execution of Services

NKX Consulting performs services with due care, professionalism, and expertise.
The client remains responsible for:

Decisions taken based on advice
Implementation of recommendations
Providing timely and accurate information necessary for service delivery

NKX Consulting cannot be held responsible for outcomes resulting from incomplete or incorrect information provided by the client.

Intellectual Property

All materials, methodologies, frameworks, tools, presentations, and documents developed by NKX Consulting remain the intellectual property of NKX Consulting, unless agreed otherwise in writing.

The client is granted a non-exclusive right to use these materials internally for organizational purposes.
External distribution, reproduction, or commercial use is not permitted without prior written consent.

Confidentiality

Both parties agree to treat all confidential information obtained during the collaboration as strictly confidential.
This obligation remains in force after termination of the agreement.

Liability

NKX Consulting’s liability is limited to the amount invoiced for the relevant assignment.
NKX Consulting is not liable for indirect damages, consequential losses, loss of profit, or business interruption.
Liability only applies in cases of proven intent or gross negligence.

Force Majeure

NKX Consulting is not liable for failure or delay in performance due to circumstances beyond reasonable control, including but not limited to illness, technical failures, government measures, or force majeure events.

Termination

Either party may terminate the agreement in writing, subject to the terms agreed in the proposal.
Work performed up to the termination date remains payable.

Applicable Law and Jurisdiction

These Terms & Conditions are governed by European law.
Any disputes shall be submitted to the competent court in that jurisdiction.

Final Provisions

If any provision of these Terms & Conditions is found invalid, the remaining provisions shall remain fully in force.
In case of conflict between these Terms & Conditions and a specific agreement or proposal, the latter shall prevail.
